In a company, a Company Secretary is an individual with apt skills who can handle its legal and statutory requirements. The Company Secretary(CS) Course in India is regulated by the Institute of Company Secretaries of India (ICSI). Therefore, in accordance with section 2(1)(c) of the Companies Acts of 1980, a company secretary is an ICSI member. Company Secretaries are responsible for ensuring that a company adheres to relevant laws and regulations. Additionally, a CS must manage and enforce the company's legislative, legal, and financial obligations. Managing tax returns, records, corporate laws, secretarial auditing, certifications to public issues, mergers, and amalgamations are a few more popular tasks that are handled by the CS.

ICSI:

Institute of Company Secretaries of India (ICSI) is the only body in India that conducts and regulates the Company Secretary Course. The Company Secretaries Act of 1980, a statute enacted by Parliament, established it as a respected National Professional Association. The Ministry of Corporate Affairs of the Indian government controls the ICSI. The Institute maintains the highest standards for CS Members and provides top-notch instruction to students enrolled in the Company Secretaries (CS) Course. Almost 2.5 lakh students are currently registered in ICSI, and it has more than 65,000 members.

Along with its home office in New Delhi and four regional offices in Chennai, Kolkata, Mumbai, and New Delhi, ICSI has 72 Chapters dispersed throughout India.

Who can become a Company Secretary?

Aspirants who pass the three stages of the Company Secretary exams can be called Company Secretaries in India.

The three stages of the CS Exams are:

  • Foundation Level
  • Executive Level
  • Professional Level

As our previous blogs were about the Foundation and the Executive levels of the CS Exam. So in this blog, we are going to discuss the Professional Level of Company Secretary Course.

What is CS Professional Level?

It is considered to be one of the hardest levels. In addition, it is the last stage of studies for future company secretaries. The complicated subjects are divided into three modules, the third of which offers two core subjects and one optional.

Eligibility: 

The applicant will be permitted to sit for the professional programme examination if he or she has registered as a student at least nine calendar months prior to the month of the exam. Candidates should have passed the CS Executive Level of the CS Exam.

A candidate who has completed the ICAI (Cost) Final examination is qualified to request exemption from the following CS Professional Programme papers:

Module 1, Paper 1 : Advanced Company Law & Practice

Module 2, Paper 5 : Financial, Treasury and Forex Management

Module 3, Paper 7 : Advanced Tax Laws and Practice

Syllabus:

There are three modules in the CS Professional Programme. Module 1 and 2 has three-three subjects and in Module 3, two are obligatory subjects and 5 elective subjects. Here is the list of all three modules and their subjects. 

Module-I

1. Advanced Company Law and Practice

2. Secretarial Audit, Compliance Management and Due Diligence

3. Corporate Restructuring, Valuation and Insolvency

Module-II

4. Information Technology and Systems Audit

5. Financial, Treasury and Forex Management

6. Ethics, Governance and Sustainability

Module-III

7. Advanced Tax Laws and Practice

8. Drafting, Appearances and Pleadings

9. Paper 9 is the elective one, out of these 5 you can choose any one  according to your interest.

  • Banking Law and Practice
  • Capital, Commodity and Money Market
  • Insurance Law and Practice
  • Intellectual Property Rights - Law and Practice
  • International Business-Laws and Practices

Medium of Examination:

Students can write the examination in both the languages i.e., English and Hindi, according to their choices.
