Who is a Company Secretary? 

Company secretaries undertake functions sometimes attributed to legal advisors with the primary goal of ensuring that the business complies with all legal regulations. The duties of the position can vary based on the company in which a company secretary ends up working for. Company secretaries typically work for specific businesses. Their primary goal is to focus on the departments of that specific company and ensure that they are operating in conformity with local laws. However, some seasoned company secretaries prefer to work independently, getting hired on a temporary basis by various businesses. They typically organise huge amounts of data gathered from different company departments. The safety of employees, their insurance coverage, corporate social responsibility initiatives, accounting and tax-related issues, among many other facets of a company's everyday operations, must all be under their supervision. Since the position is very all-encompassing, most company secretaries are not restricted to a certain department. Instead, they consider every part of the organisation they are working for or with, depending on their contract. They typically need to meet the same criteria as chartered accountants in terms of training.

What does a Company Secretary do? 

A CS acts as a mediator between the law, the company, and the Board of Directors. In addition, a CS gives advice to the Board on the way to utilise their duties and responsibilities.

The CS course mostly focuses on corporate law, such as the Companies Act, labour laws, SEBI and other laws that directly affect companies. Company Secretaries go through three stages of exams in order to become one:

1.    Foundation Programme (4 papers)

2.    Executive Programme (8 papers)

3.    Professional Programme (9 papers)

The student who wants to become a CS after passing the Graduation has to undergo the Company Secretary Executive Programme and Professional Programme.

There are many opportunities for company secretaries, from experts in legal advice to management, administration, planning, and general administration. Moreover, company secretaries are considered qualified to provide sound guidance within a company regarding corporate, legal, secretarial, administrative, and even tax matters. As a result of this widening scope, careers in Company Secretary are booming. 

Executive Programme:

This is the second level of the CS Course, after qualifying the CS Foundation Level and also for the students who give this exam directly after graduation.

Course Duration:

The minimum course duration as per the regulations of the institution is 9 Months.

The course duration is the minimum time that a student has to spend on taking up the course at this level. It is the period starting from, the time the student gets registered, to the time the student completes the course.

The actual time that a student has to spend on the course would be dependent on the actual date of registration.

When are the Examinations Conducted?

The exam for this level is conducted twice every year generally on specified dates which do not change except under extraordinary circumstances. 

Students can apply for the executive program through the CS foundation route or direct entry route provided by the Institute of Company Secretaries of India. For the direct route, the student must have cleared the graduation in commerce, or any other stream. 

Syllabus of CS Executive Exam: 

There are 8 papers divided into 2 Modules in CS Executive Programme and they are the following:

MODULE 1: 

  • Paper 1:- JURISPRUDENCE, INTERPRETATION & GENERAL LAWS
  • Paper 2:- COMPANY LAW
  • Paper 3:- SETTING UP OF BUSINESS ENTITIES AND CLOSURE
  • Paper 4:- TAX LAWS

MODULE 2:

  • Paper 5:- CORPORATE & MANAGEMENT ACCOUNTING
  • Paper 6:- SECURITIES LAWS & CAPITAL MARKETS
  • Paper 7:- ECONOMIC, BUSINESS AND COMMERCIAL LAWS
  • Paper 8:- FINANCIAL AND STRATEGIC MANAGEMENT

CS Executive Exam Pattern

Before planning to start the preparation, the students must know about the exam details, patterns and syllabus of CS Executive.

Medium of Exam:- English and Hindi

Mode Of Exam: Pen and Paper Based

Duration of Exam: 180 Minutes

Type of Questions: Both Subjective and Objective

Objectives Questions: 100 MCQs each paper

Subjective Questions: Total 6 questions each divided in 4 parts

Marking Scheme: 2 marks for each correct answer and 0.25 marks will be deducted for every wrong answer
